IMPORTANT LEGAL NOTICE: Because Vitrion Digital operates exclusively on a business-to-business (B2B) model, this Agreement is governed strictly by commercial contract principles under the laws of the Province of Ontario. By executing a Work Order, accepting an Invoice, accessing the CMS Application, or taking delivery of any hardware, you acknowledge that you have read, understood, and agreed to be bound by all the terms, risk allocations, and liability waivers contained herein.
Welcome to Vitrion Digital. This Terms of Use and Commercial Conditions Agreement ("Agreement") forms a legally binding contract between Vitrion Digital ("Company," "we," "us," or "our") and the business entity, client, or corporate subscriber ("Client," "you," or "your") accessing our website, purchasing or renting our physical LED hardware products, or utilizing our cloud-based remote Content Management System application ("CMS Application" or "App").
Vitrion Digital provides premium modular LED panels, storefront window installations, and standalone display rigs. These products may be acquired by the Client via three distinct commercial tracks: absolute purchase, fixed-term rental, or subscription-based leasing. The specific pricing, deployment duration, and hardware configurations for each project will be outlined in a separate Company-issued invoice, quote, or work order (each, a "Work Order"). This Agreement applies globally to all such Work Orders.
Vitrion Digital coordinates, manages, and executes the physical assembly and structural mounting of the LED setups (including glass mounting and modular integration). The Client must ensure that the installation site matches the electrical outputs and structural load capacities specified by our technicians prior to deployment.
THE CLIENT EXPLICITLY AGREES THAT IMMEDIATELY UPON THE COMPLETION AND TECHNICAL COORDINATION OF THE HARDWARE INSTALLATION, ALL RISK OF LOSS, DAMAGE, THEFT, DESTRUCTION, AND LIABILITY PASSES EXCLUSIVELY TO THE CLIENT.
Vitrion Digital is completely absolved of any and all physical liability or property damage risks after installation is finalized. In the event of building break-ins, external vandalism, vehicular impact, fires, structural building shifts, or severe weather occurrences that shatter, warp, or destroy the storefront or the LED panels, the Client bears full financial responsibility. For rental and subscription units, the Client must either pay the full replacement value of the damaged hardware out-of-pocket or recover the costs through their own commercial property insurance policies.
Where the Client opts to acquire or rent an LED display mounted on a standalone display rig (e.g., a mobile display banner configuration), the following specialized rules apply:
Vitrion Digital provides a limited Two (2) Year Commercial Warranty applicable to all supplied LED hardware products. This warranty covers factory manufacturer defects only (such as premature diode burnouts, internal power supply failures, or systemic module glitches originating from production).
This limited manufacturer warranty does not cover ordinary aesthetic wear-and-tear, pixel degradation due to client-side electrical spikes, or environmental moisture damage. Furthermore, this warranty is immediately rendered null and void if the hardware is subjected to any of the following unauthorized actions:
To control the visual display loops remotely, Vitrion Digital grants the Client a limited, non-exclusive, non-transferable, revocable software license to access our CMS Application via authorized desktop browsers or mobile device platforms. The App is licensed, not sold, and the Client shall not attempt to reverse-engineer, decompile, or copy the source code of the CMS network.
Because these LED panels operate as highly visible public-facing mediums, the Client maintains absolute liability for the creative assets, text, graphics, and videos pushed to the screens. The Client warrants that they own the legal copyrights or marketing permissions for all uploaded visual media. The Client strictly agrees not to upload or broadcast content that:
Vitrion Digital reserves the right, but not the obligation, to instantly delete or block any visual transmission on a rented or subscription network that violates this Section.
Rental and subscription periods can be arranged on a daily, weekly, monthly, or project-specific timeline with no overarching minimum term duration unless specifically mandated in a tailored Work Order. Payments are due strictly according to the schedule detailed on your Invoice.
FOR ALL RENTAL AND SUBSCRIPTION ACCOUNTS, PAYMENT PUNCTUALITY IS AN ESSENTIAL CONDITION OF CONTINUED SYSTEM SERVICE.
If a Client's rental payment fails, a pre-authorized card bounces, or a corporate account falls overdue, Vitrion Digital reserves the absolute legal right to execute the following collection remedies without prior formal warning:
While our cloud app handles remote content transmission, the synchronization of visuals requires a stable internet architecture (Wi-Fi, local LAN, or cellular data) at the physical installation site. Vitrion Digital is not responsible or liable for display freezes, failure to update, or synchronization delays caused by local telecom infrastructure failures, power grid drops, client router outages, or necessary, periodic cloud server maintenance updates.
TO THE MAXIMUM EXTENT PERMITTED UNDER ONTARIO LAW, IN NO EVENT SHALL VITRION DIGITAL BE LIABLE TO THE CLIENT OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS, STOREFRONT BUSINESS DISRUPTION, CUSTOMER FOOT-TRAFFIC REDUCTIONS, OR BRAND DAMAGES ARISING OUT OF THE USE OR MALFUNCTION OF OUR HARDWARE OR APP.
Our maximum aggregate financial liability under any legal theory (whether in contract law, tort, negligence, or strict product liability) shall never exceed the total cumulative commercial fees paid by the Client to Vitrion Digital during the three (3) month period immediately preceding the event that triggered the legal claim.
This Agreement, its structural interpretation, and all commercial interactions between Vitrion Digital and the Client shall be strictly governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any formal legal disputes, litigation, or contractual arbitration arising out of this relationship must be initiated and resolved exclusively within the courts located in the City of Toronto, Ontario.
